7. Educational Purpose and No Guarantee

SYNAPSIS does not guarantee:

• a passing NCLEX or other examination result;
• examination eligibility;
• issuance of an Authorization to Test;
• professional licensure or endorsement;
• acceptance of credentials;
• immigration or employment eligibility;
• employment placement;
• salary or career advancement; or
• any particular academic or professional outcome.

Results depend on multiple factors outside SYNAPSIS’s control, including the Student’s preparation, participation, prior education, language proficiency, examination performance and compliance with licensing requirements.

SYNAPSIS is independent from NCSBN, Pearson VUE, state boards of nursing, ECFMG and other licensing or testing authorities unless a relationship is expressly disclosed in writing.

Educational information does not replace professional medical advice, clinical judgment, institutional policy or instructions from an applicable licensing authority.

8. Purchases and Pricing

All prices are stated in United States dollars unless otherwise indicated.

Before payment, the Website will display or provide access to the material purchase terms, which may include:

• total price;
• payment frequency;
• duration of access;
• taxes or required fees;
• automatic renewal information;
• refund restrictions; and
• cancellation procedures.

Prices may change prospectively at any time. A price change will not alter a completed purchase unless you expressly agree to the change.

Promotional prices, coupons and discounts:

SYNAPSIS generally does not directly store complete payment-card numbers. Payment processors handle payment information according to their own terms and privacy practices.

By submitting a payment, you represent that:

• you are authorized to use the payment method;
• the billing information is accurate;
• you authorize the disclosed charge; and
• sufficient funds or credit are available.

10. Reservation of Seat and Final Sale Policy

Registration and payment cause SYNAPSIS to accept the enrollment, reserve limited class or program capacity, perform administrative services and, when applicable, activate digital resources.

Your reserved capacity may prevent SYNAPSIS from offering the same place to another student.

Therefore, except as expressly provided in the Refund and Cancellation Policy, Student Enrollment Agreement or applicable nonwaivable law:

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE ONCE REGISTRATION AND PAYMENT ARE COMPLETED.

Refunds are not provided because of:

• change of mind;
• nonattendance or partial attendance;
• withdrawal from a program;
• personal, family, employment or travel conflicts;
• illness, except when SYNAPSIS voluntarily approves a credit;
• examination postponement or rescheduling;
• failure to use online access;
• failure to complete the program;
• failure to meet licensing or examination requirements;
• dissatisfaction not caused by SYNAPSIS’s material failure to provide the purchased service;
• unfamiliarity with Zoom or the online platform; or
• internet, device or technical problems within the Student’s control.

This policy does not eliminate rights that applicable law does not permit a consumer to waive.

11. Credits and Rescheduling

A class credit is not a refund.

Unless a written program policy states otherwise, credits:

• have no cash value;
• are nontransferable;
• cannot be sold or shared;
• may be used only for the service identified by SYNAPSIS;
• are subject to future availability;
• do not require SYNAPSIS to create a private replacement class;
• may expire after the period stated when the credit is issued; and
• may be forfeited if the Student misses the credited replacement class.

Requests for a discretionary credit must be submitted in writing to info@synapsismedicaledu.org before the affected class begins.

12. Cancellation by SYNAPSIS

If SYNAPSIS cancels a class, it may provide:

• a reasonable replacement date;
• access to a substantially equivalent class;
• an equivalent account credit; or
• another reasonable educational alternative.

If SYNAPSIS permanently cancels a paid program and does not provide a substantially equivalent replacement within a reasonable period, the Student will receive a refund for the portion SYNAPSIS did not provide.

Brief interruptions, reasonable schedule adjustments, instructor substitutions, platform outages or events outside SYNAPSIS’s reasonable control do not automatically create a refund right when a reasonable replacement or restored access is provided.

13. Memberships and Recurring Subscriptions

Certain memberships and subscriptions renew automatically.

Before enrollment, SYNAPSIS will disclose:

• the amount charged;
• billing frequency;
• renewal terms;
• duration of any introductory or promotional period;
• how to cancel; and
• when cancellation becomes effective.

By purchasing an automatically renewing membership, you expressly authorize SYNAPSIS or its payment processor to charge the selected payment method at each disclosed billing interval until cancellation.

You may cancel future recurring charges:

• through your account or subscription dashboard, when available; or
• by emailing info@synapsismedicaledu.org.

Cancellation becomes effective at the end of the current paid billing period unless otherwise stated. You will ordinarily retain access through that period.

Canceling a membership stops future renewal charges. It does not retroactively refund a charge already processed or an access period already activated, except when required by law or expressly approved under our Refund Policy.

You should retain the cancellation confirmation.

14. Installment Plans

An installment plan is different from a recurring membership.

An installment plan divides a fixed total purchase price into scheduled payments. Discontinuing attendance, canceling platform access or stopping use of the service does not automatically cancel the remaining contractual balance.

If you purchase a program under an installment agreement, you remain responsible for all installments unless:

• SYNAPSIS agrees otherwise in writing;
• the applicable installment agreement provides otherwise; or
• applicable law requires cancellation.

Failure to make a scheduled payment may result in suspension of access, collection activity or cancellation of installment privileges.

15. Affirm Financing

Affirm financing may be available for eligible purchases. Affirm is an independent third-party financing provider and is not owned or controlled by SYNAPSIS.

Eligibility and Approval

Affirm independently determines:

• applicant eligibility;
• identity-verification requirements;
• credit approval;
• available financing options;
• down-payment requirements;
• interest rate or APR;
• repayment term; and
• payment amount.

SYNAPSIS cannot guarantee approval or modify Affirm’s credit decision.

Age, residency and other eligibility requirements are established by Affirm and may change. You must review Affirm’s current eligibility requirements before applying.

Financing Agreement

Your loan or financing agreement is directly between you and Affirm.

Before accepting financing, you are responsible for reviewing:

• amount financed;
• APR or interest rate;
• payment schedule;
• total repayment amount;
• late-payment consequences, if applicable; and
• all other disclosures presented by Affirm.

Payments must be made directly to Affirm according to your financing agreement.

Refunds on Affirm Purchases

Purchases financed through Affirm remain subject to the same SYNAPSIS Refund and Cancellation Policy as purchases made through other payment methods.

SYNAPSIS determines whether a purchase qualifies for a refund under its policies and applicable law. Affirm cannot authorize a SYNAPSIS refund without confirmation from SYNAPSIS.

If SYNAPSIS approves and processes a full or partial refund:

• the refund will ordinarily be submitted through the original payment channel;
• Affirm will determine how the refund affects the financing balance;
• processing may take additional time;
• interest already paid may not be refundable; and
• you must continue following Affirm’s payment instructions until Affirm confirms that your balance or payment schedule has changed.

A SYNAPSIS class credit does not modify, suspend or cancel an Affirm financing agreement.

16. Intellectual Property Ownership

The Website and its original educational materials are owned by or licensed to SYNAPSIS and are protected by copyright, trademark and other applicable laws.

Protected materials may include:

• videos and recordings;
• question banks;
• NCLEX-style questions and rationales;
• slides and presentations;
• handouts and monographs;
• graphics and illustrations;
• flashcards;
• written explanations;
• course structure and organization;
• logos, branding and website design; and
• instructor voice, demonstrations and original teaching materials.

Nothing in these Terms transfers ownership of SYNAPSIS content to the User.

17. Limited Educational License

Subject to payment and compliance with these Terms, SYNAPSIS grants you a limited, personal, revocable, nonexclusive and nontransferable license to access authorized content solely for your own noncommercial study during the applicable access period.

You may not use SYNAPSIS materials to teach, train, tutor or provide commercial services to another person without written authorization.

The license automatically ends when:

• the access period expires;
• the account is terminated;
• required payment is not completed; or
• you materially violate these Terms.

18. Prohibited Use of Content

Without prior written authorization, you may not:

• photograph or screenshot protected materials;
• make audio, video or screen recordings;
• copy or reproduce questions, answers, rationales or slides;
• download materials unless a download function is expressly enabled;
• share login credentials or account access;
• post content on social media or messaging platforms;
• upload materials to shared drives, websites, question banks or third-party platforms;
• upload protected content into artificial-intelligence systems;
• translate, modify, adapt or create derivative materials;
• scrape, extract or systematically collect Website content;
• sell, license, distribute or publicly display materials;
• remove copyright notices, watermarks or ownership information; or
• use the content to develop a competing educational product or service.

Unauthorized use may result in immediate suspension or termination without refund and may expose the responsible person to legal remedies available under applicable law.

19. Live Classes and Recording

Students may not photograph, screenshot, audio-record, video-record or screen-record live classes, instructors, participants, slides or discussions without prior written authorization.

Students must join Zoom classes using the first and last name associated with their registration. Generic device names may be denied entry if the Student’s identity cannot be verified.

If SYNAPSIS plans to record a live session, participants will receive notice and any consent required by applicable law will be obtained.

Promotional use of a Student’s identifiable name, image, voice or testimonial requires separate authorization and is not a condition of purchasing educational services.

20. User Conduct

You agree not to:

• disrupt classes or Website functionality;
• harass, threaten or abuse instructors, staff or other students;
• impersonate another person;
• provide false account or payment information;
• attempt unauthorized access to accounts or systems;
• introduce malware, harmful code or automated scraping tools;
• interfere with security or access controls;
• engage in fraud or payment abuse;
• publish another person’s private information;
• violate another person’s intellectual-property or privacy rights; or
• use the Website for unlawful purposes.

SYNAPSIS may remove disruptive participants and may suspend or terminate accounts for material or repeated violations.

21. Third-Party Services and Links

The Website may contain links to or integrations with Zoom, LearnDash, WooCommerce, payment processors, financing providers, testing organizations, licensing boards and other third parties.

SYNAPSIS does not control third-party websites, policies, outages, decisions or content.

A link or integration does not constitute a guarantee or endorsement. Your use of a third-party service may be subject to that provider’s terms and privacy policy.

22. Technology Requirements

You are responsible for maintaining:

• a compatible device;
• a reliable internet connection;
• current browser and Zoom software;
• working audio and video when required; and
• adequate security for your own device and account.

SYNAPSIS does not guarantee that every device, browser, network or third-party application will be compatible with the Website.

When a technical problem is within SYNAPSIS’s reasonable control, we will make reasonable efforts to restore access or provide an appropriate alternative.

23. Privacy and Communications

Collection and use of personal information are governed by the SYNAPSIS Privacy Policy.

By providing an email address or telephone number, you consent to receive transactional communications concerning:

• account activity;
• purchases and payments;
• subscription renewals;
• class schedules;
• security notices;
• access instructions; and
• policy changes.

Marketing communications may be discontinued using the unsubscribe method provided in the message. Opting out of marketing does not prevent necessary transactional communications.

24. Electronic Records and Signatures

You consent to conduct transactions electronically.

A checked acceptance box, typed name, digital signature, electronic payment, email confirmation or other electronic action made with the intent to accept may constitute your electronic signature.

You agree that electronic records may satisfy requirements for written notices and agreements when they are capable of being retained and reproduced.

You are responsible for downloading or saving copies of agreements and confirmations provided during checkout.

25. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and services are provided on an “as available” basis.

SYNAPSIS does not warrant that:

• every error will be corrected immediately;
• all third-party services will remain available;

26. Limitation of Liability

SYNAPSIS’s total liability arising from a particular purchase will not exceed the amount actually paid to SYNAPSIS for the specific product or service giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, gross negligence, personal injury caused by legally actionable conduct or liability that applicable law does not permit us to limit.

27. Indemnification

To the extent permitted by law, you agree to defend and indemnify SYNAPSIS against third-party claims, losses or reasonable expenses arising from:

• your violation of another person’s rights;
• fraudulent activity conducted through your account; or

This obligation does not apply to claims caused by SYNAPSIS’s own unlawful conduct.

When circumstances reasonably permit, SYNAPSIS may provide notice and an opportunity to correct the violation. Immediate suspension or termination may occur when necessary to protect students, staff, systems, payments or intellectual property.

Termination resulting from the User’s material violation does not create a refund right.

29. Chargebacks and Billing Disputes

If you believe a charge is unauthorized, duplicated or incorrect, contact info@synapsismedicaledu.org promptly so we can investigate.

You agree not to knowingly submit false information in connection with a payment dispute or chargeback.

Nothing in this section restricts your lawful right to dispute an unauthorized or erroneous charge with your financial institution.

SYNAPSIS may provide the payment processor with relevant records, including:

• accepted terms;
• order confirmations;
• login and access records;
• attendance records;
• cancellation communications; and
• delivery of digital or live services.

30. Changes to These Terms

SYNAPSIS may update these Terms prospectively to reflect changes in services, technology, business operations or applicable law.

The updated version will display a revised effective date.

Material changes affecting active memberships or existing obligations may be communicated by email, account notice or another reasonable method.

Changes will not retroactively alter the material financial terms of a completed purchase without your agreement unless required by law.

Continued use after the effective date of revised Terms constitutes acceptance of the revised Terms for future use and transactions.

31. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Before filing a claim, each party agrees to send written notice describing the dispute and requested resolution and to allow 30 days for good-faith informal resolution, unless:

• immediate injunctive relief is reasonably necessary;
• a legal filing deadline requires earlier action; or
• applicable law provides otherwise.

Any court proceeding must be brought in a court with lawful jurisdiction in Hillsborough County, Florida, unless applicable consumer law requires another location.

Nothing in these Terms prevents either party from using small-claims court or contacting an appropriate government agency.

32. General Provisions

If any provision is found unenforceable, it will be limited or removed only to the minimum extent necessary. The remaining provisions will continue in effect.

Failure to enforce a provision on one occasion does not waive the right to enforce it later.

You may not transfer your account, enrollment, credit or contractual rights without written authorization.

SYNAPSIS may assign these Terms as part of a merger, reorganization, sale of assets or transfer of business operations, subject to applicable law.
